Deutsch Contract on the Participation at the Erotic Fair Erofest 2025
Article I
Subject of Contract
The Organizer hereby undertakes to provide the Expositor area for the Erotic Trade Fair as specified below and furthermore in specifications stated in this online form.
The Expositor undertakes to pay a registration fee, and to pay for the rented area as specified in Online form hereto and to occupy this area during the days of the Trade Fair.
Article II
Binding registration for the Trade Fair
The erotic fair is held on March 28 – 29, 2025 at the address PVA Expo, 190 00 Prague, Beranových 667 (Czech Republic). The erotic fair takes place on 28/03/2025 from 13:00 to 23:00, 29/03/2025 from 11:00 to 23:00. The fair also includes an after-party in a separate hall every time after the end of the fair. The construction of the stands will take place on March 27, 2025 from 8:00 a.m. to 11:59 p.m. The cleaning of the stalls will take place on 29/03/2025 at 21:00 and must be done by 03:00 on 30/03/2025.
Expositor will send a completed contract along with Online form attention to Organizer in paper or electronic form. Contract and Online form must be signed and must also bear the seal of company, or the entrepreneur. It is deemed that confirmation of reception of the Contract in an electronic or written from by the Organizer constitutes the execution of the Contract on the Participation at the Erotic Trade Fair.
By confirming reception of the completed Contract along with Online form the Organizer undertakes to provide the Expositor an area and additional services according to Online form, the Expositor undertakes to pay a price according to the invoice issued to him/her and to occupy this area on the days of the Trade Fair.
After the execution of the Contract the Expositor is obligated to send electronic documents, which will aid with the ordered presentation stated in Online form.
The Expositor will send an electronic application by Online form.
The Expositor will send the application in its written form to address: FOTION, s.r.o., Plzeňská 172c, 153 00 Praha 5.
Article III
Rented exposition area
The Expositor will pay for the rented area and additional services specified in Online form herein a price in the amount off sum this online form.
Article IV
Payment Terms
The Expositor will pay a price for the rented exposition area along with additional services according to Art. III based on an invoice with a due date stated on the invoice.
All prices are stated excluding VAT, all prices will have VAT added to them according to current legislation.
The Expositor will inform the Organizer of the payment immediately by sending an email with attached bank statement to email info@erotickyveletrh.cz.
Article V
Withdrawal from Contract
Withdrawal from Contract is only possible in a written form addressed to the Organizer. Withdrawal from Contract addressed to the Organizer must contain a reason for withdrawal.
Article VI
Cancellation Fee
The Organizer reserves the right to charge a cancellation fee for the withdrawal from Contract by Expositor.
Withdrawal by :
September 1st, 2024 at 0 % of amount according to Art. III
December 1st, 2024 at 50 % of amount according to Art. III
March 28th, 2025 at 100 % of amount according to Art. III
Article VII
Layout of Expositions
The Organizer has the decisive right relative to the final layout of expositions depending on current availability.
The Organizer continuously records the layout of individual expositions into the floor plan. The Organizer will provide this floor plan to the Expositor upon request.
Article VIII
Liability for Damages
The Expositor is fully responsible for damages inflicted on the rented exposition area and all equipment provided by the Organizer. In the event of any damages, the Expositor shall immediately inform the Organizer of the damages, and together they will record the extent of damages along with the solution to such a situation.
The Expositor is fully liable even in the event that such damages are caused by his/her employee or other person authorized by him/her.
Article IX
Organizer Guarantees
The organizer is not responsible for any damage to the property of exhibitors, which may arise in the exhibition grounds.
5.1. The Contracting Parties declare that they are concluding this Contract and agree on the rights and obligations under this Contract, fully aware and understanding the content and impact of measures taken by public authorities in connection with the spread of the health-threatening SARS CoV-2 virus contagion (in the media referred to as “Coronavirus “). In view of the fact that the time and content of any further measures taken by public authorities, as well as the extent of their impact on the Organizer’s ability to fulfil the obligations under this Contract cannot be predicted at this time, the Parties undertake that in case of further measures issued in connection with the aforementioned state or issued in order to increase the scope of existing measures resulting in a substantial change in the Organizer’s ability to perform under this Contract, where the organizer expressly declares this to the Visitor/partner/customer, the Visitor/partner/customer is obliged to bear postponing of the Fair date to 22th – 23th April 2025 (hereinafter referred to as the “new date of the event”). The Organizer hereby undertakes, within the framework of the objective of a reasonable and fair arrangement of the contractual relationship, that in case of such measures taken by public authorities that interfere with the Organizer’s obligations under this Contract, all ordered services and related obligations shall be transferred to the new date of the event, while the Visitor/partner/customer agrees and declares that in such a case he /she shall provide the Organizer with full co-operation and shall not consider the said transfer of ordered services and related obligations to the Organizer to be an obvious abuse of his /her right.
Article X
Resolution of Disputes
All possible disputes during the performance of the Contract will be resolved primarily by mutual agreement between the Organizer and the Expositor. A written report with an opinion will be drawn up about this agreement, which will be binding for Expositor as well as Organizer.
If such disputes are not resolved through mutual agreement between the Organizer and the Expositor, then the relevant authorities will decide on it. For disputes, which do not have exclusive jurisdiction, the Contracting Parties establish the local jurisdiction of courts residing in Prague.
Article XI
Expositor Promotion
The Expositor undertakes to provide all materials, which are to be part of the promotion according to Art. III andOnline form. In the event that these materials are not provided by him/her in the proper deadlines as per Organizer instructions, then Organizer’s obligation to perform this promotion is waived without an entitlement to a refund.
If the Expositor will use music in his/her presentation, then he/she may only do so presuming that the music will not disrupt the course of the event. Above all, he/she will not bother other expositors or drown official audio production. If the Organizer deems to music to be inappropriate, then he reserves the right to demand that the Expositor terminates such activity.
The Organizer undertakes to provide all the promotion to the Expositor, which he orders according to Online form hereto. If he does not do so, then he is obligated to return the amount, which the Expositor paid according to Online form.
Article XII
Opening of the Trade Fair Grounds for Exposition Areas
For the installation of the kiosks the Trade Fair grounds will be opened in Prague on March 27th, 2025, from 8 AM and in During this time the Expositor must be able to occupy his/her area and prepare it for the Trade Fair. In case of any complications the Expositor is obligated to immediately report this to the Organizer and together they will resolve these complications.
Article XIII
Handover of the Exposition Area
After the conclusion of the Trade Fair the Expositor is obligated to handover the exposition area to the Organizer no later than 8 hours following the conclusion of the event. The Organizer will draw up a handover report of this, where he will confirm that all the obligations were settled, will further confirm that the area and rented materials or will state in it the extent of damages, which occurred on the exposition area or the rented materials. The handover report will state how will obligations or reimbursement of damages, which occurred on the rented materials or exposition area, be settled.
Article XIV
Final Provisions
All changes and addenda to this Contract may be performed only in writing through a mutual agreement between the Organizer and the Expositor.
The Expositor undertakes to not disrupt the course of the event by a late preparation of the exposition area. He/she will have ample time for such according to Art. XII. Upon the admission of first visitor onto the Trade Fair grounds it is no longer possible or the Expositor to disrupt the course of the event by preparation of his/her exposition area. If the Expositor does not take sufficient measures and his/her area is not prepared, or will be getting ready while first visitor is entering, then the Organizer will charge him/her a contract fine of up to CZK 20,000.00.
In the event of unforeseeable circumstances (vis maior) making the Organizer unable to commence the Trade Fair or ensure that it is fully realized, then the Expositor will be informed immediately. In such a case the Expositor is not entitled to any reimbursement for damages.
In the event that the Expositor does not occupy his/her area at the Trade Fair at least 3 hours before the start of the event for the visitors, then the Organizer will occupy this area according to his possibilities, while the Expositor’s right to this area is terminated without entitlement to a refund. Non-occupation of the Trade Fair area is deemed to be a gross violation of Contract terms and authorizes the Organizer to terminate the Contract.
The Expositor can claim his/her entitlement to work and services provided by the Organizer in writing with enclosed photo documentation directly at the time of the Trade Fair no later than before the official end of the Trade Fair.
If the Expositor leaves the Trade Fair before its official end, then the Organizer can impose a fine of up to CZK 20,000.00.
Online form to this Contract is a list of services provided by the Organizer.
This Contact is drawn up in two hard copies, where each is deemed to be an original.
Contracting Parties have read this Contract and declare that they are fit for legal acts and agree with its contents. The Contract is binding for the Contracting Parties and is enforceable through the courts, which the parties confirm with this online form, while its execution is on the basis of their serious and free will, without any coercion or vital error, which they confirm by this online form.
